Biography
Anisa Kitpanuruj is a corporate lawyer specialising in mergers and acquisitions, capital markets, and general corporate and commercial matters. She has experience advising on a broad range of domestic and cross-border transactions, with particular exposure to banking and finance, capital markets, and corporate governance.
Prior to joining the firm, Anisa worked at a leading international law firm in Bangkok, where she was part of the banking and finance practice and collaborated closely with the capital markets team. Her experience spans multiple practice areas, including banking and finance, capital markets and corporate governance, and public-private partnerships.
Anisa holds a Bachelor of Laws (First Class Honours) from Chulalongkorn University, with a major in business law and taxation, and is admitted to practice by the Lawyers Council of Thailand.

_Advised a leading FMCG company on its initial public offering (IPO) and listing on the Stock Exchange of Thailand, managing the full scope of the transaction including conducting legal due diligence, preparing the prospectus and SEC filings, coordinating with underwriters, and liaising with regulators throughout the approval process
Represented an entertainment company and its selling shareholder in connection with a 49% acquisition by a listed company, handling transaction structuring, document preparation, and coordination between buyer and seller parties
Counseled a Thai commercial bank on the acquisition of 97% shares in a digital asset exchange company from its founding shareholders, advising on regulatory considerations specific to digital asset businesses and structuring the share purchase arrangements
Advised a global asset exchange on its acquisition of majority shares in a Thai finance company, encompassing end-to-end legal due diligence, regulatory analysis of financial services licensing requirements, and drafting of all transaction documents
Advised Thai and international clients on investment structuring through joint ventures and M&A transactions, and drafted and negotiated commercial contracts for both domestic and cross-border investments
Advised SET-listed companies on the organization of Board of Directors and Shareholders’ meetings, ensuring compliance with Thai corporate governance requirements and the regulations of the SEC and SET
