Biography
Teerachai Boonyaratgalin is an associate of the Firm. He assists both multinational and domestic businesses with a wide range of corporate legal matters, including corporate & M&A, capital markets, digital assets, and fintech-related laws.
Before joining the Firm, Teerachai worked at two law firms based in Bangkok, where he advised clients on complex M&A transactions involving both private and public companies and advised and assisted clients in applying for business licenses involving electronic payment services, digital asset businesses, and initial coin offerings (ICO) in Thailand. His experience also includes a variety of regulatory, licensing, and corporate matters, such as foreign direct investment, commercial contracts, and general corporate advice.
Teerachai holds an LLB from Thammasat University (International Program), Thailand.

Key Experiences
Corporate & M&A
- Advised an IT infrastructure turnkey service provider on its planned IPO and listing on the MAI in 2024.
- Advised an Israeli-listed company in respect of its structuring and operation of food-tech related business in Thailand, as well as on its investment by a group of investors worth approximately USD 5 million (2023 – 2024).
- Advised and assisted on a share swap transaction worth approximately USD 17.7 million between software solutions service providers in Thailand (2024 – 2025).
- Advised and assisted on a share acquisition transaction, involving a share swap between two listed companies, worth approximately USD 7.26 million (2023).
Digital Assets & Fintech
- Advised and assisted digital asset business operators in applying for digital asset business license(s) in Thailand, including exchange, broker, dealer, and ICO Portal licenses (2022 – 2024).
- Advised and assisted an issuer of real estate-backed investment tokens on its filing of the ICO application with the SEC (2024).
